Article 9  Dissolution of the Association

1. The dissolution of the Association requires a three-quarters majority vote by the General Assembly. A resolution to dissolve the Association can only be brought if at least three-quarters of the members are represented. If the required number of members is not present, another General Assembly shall be convened, which shall be quorate regardless of the number of members being present. If the General Assembly or the Management Board determines that the goal of the Association has been achieved, the next General Assembly shall vote on the dissolution of the Association.

2. In the case of the dissolution or abolition of the Association or in the event of the abolition of its tax-privileged purpose, the assets of the Association will fall to a legal entity organized under public law or another tax-privileged corporation founded with the aim of promoting science and research.

§ 9 Auflösung des Vereins        

1. Die Auflösung des Vereins bedarf eines Beschlusses der Mitgliederversammlung mit Dreiviertel-Mehrheit. Die Auflösung des Vereins kann die Mitgliederversammlung nur beschließen, wenn wenigstens drei Viertel der Mitglieder vertreten sind. Ist die erforderliche Anzahl der Mitglieder nicht vertreten, so ist die Mitgliederversammlung erneut einzuberufen, die ohne Rücksicht auf die Zahl der vertretenen Mitglieder beschlussfähig ist. Wenn die Mitgliederversammlung oder der Vorstand feststellen, dass die Ziele des Vereins erreicht sind, soll die Mitgliederversammlung über die Auflösung des Vereins beschließen.    

2. Bei Auflösung oder Aufhebung des Vereins oder bei Wegfall des steuerbegünstigten Zwecks fällt das Vermögen des Vereins an eine juristische Person des öffentlichen Rechts oder eine andere steuerbegünstigte Körperschaft zwecks Verwendung für die Förderung von Wissenschaft und Forschung.  

Article 8

Auditor 1.

The General Assembly shall elect one or two auditors and determine the term of office. The auditor’s task is to audit the accounts of the Association. They must not be members of the Management Board.

§ 8

Rechnungsprüfer 1.

Die Mitgliederversammlung wählt einen oder zwei Rechnungsprüfer und bestimmt deren Amtsperiode. Den Rechnungsprüfern obliegt die Prüfung der Bücher des Vereins. Sie gehören dem Vorstand nicht an.

Article 7 Advisors

1. The Management Board can appoint an Advisory Board, which supports the work of the Management Board and advises on technical questions and those relating to political questions relating to a foundation.

2. The Advisory Board can consist of at least two and no more than ten individuals (the “Advisors”). The Advisors including the chairman of the Advisory Board are appointed by the Management Board The term of office is linked to the term of office of the Management Board Renewed appointment is permissible.

3. Advisors can resign from office by written declaration to the Management Board at any time.

6. The Advisory Board may conduct its meetings by video- or teleconference.

§ 7 Beirat        

1. Der Vorstand kann einen Beirat berufen, der die Arbeit des Vorstandes fachlich unterstützt und ihn insbesondere in technischen und vereinspolitischen Fragen berät.   

2. Der Beirat besteht aus mindestens zwei und höchstens zehn Persönlichkeiten („Beiratsmitglieder”). Der Vorstand beruft den Beiratsvorsitzenden und die Beiratsmitglieder. Die Amtsdauer des Beirats ist an die Amtszeit des Vorstands geknüpft. Die erneute Berufung ist zulässig.

3. Die Beiratsmitglieder können ihr Amt durch schriftliche Erklärung an den Vorstand jederzeit niederlegen.       

4. Beiratssitzungen können jederzeit stattfinden. Eine Beiratssitzung muss stattfinden, wenn ein Vorstands- oder Beiratsmitglied dies verlangt. Sitzungen werden durch den Beiratsvorsitzenden per E-Mail unter Wahrung einer angemesseneren Frist einberufen. Der Vorstand ist zu Sitzungen des Beirats stets zu laden. Der Vorstand hat ein Rederecht bei den Sitzungen des Beirats.    

5. Beschlusse werden mit Stimmenmehrheit der abgegebenen gültigen Stimmen gefasst; bei Stimmengleichheit entscheidet die Stimme des Vorsitzenden. Abstimmungen erfolgen grundsätzlich durch Handaufheben. Es kann auch per E-Mail, auf andere Art unter Nutzung kryptographischer Signatur oder durch Nutzung der Blockchain-Technologie abgestimmt werden. Es wird ein Protokoll über die Beschlüsse des Beirats geführt, das vom Vorsitzenden zu unterschreiben ist.       

6. Beiratssitzungen können mittels Video- oder Telefonkonferenzen abgehalten werden.

Article 6  Management Board

1. The Management Board shall consist of at least three individuals:

a.   the President,

b.   the Secretary,

c.   the Treasurer, and

d. may be added by additional board members.

2. The Association shall be represented in and out of court by the President, the Secretary, and the Treasurer, by each of them individually; they form the management board within the meaning of Section 26 of the German Civil Code and together with the additional members the extended management board (the “Management Board”). The liability of the Management Board vis-à-vis the Association and its members shall be limited to willful intent and gross negligence. The additional board members have an advisory role and are not authorized to represent the Association.

3. The Management Board is responsible for all affairs of the Association, unless they are assigned to another body of the Association by the Articles. The Management Board shall implement the resolutions of the General Assembly and submit to the General Assembly proposals concerning the achievement of the Association’s purpose. The members of the Management Board are entitled to reimbursement of costs incurred unavoidably as part of their work in office, within reasonable limits.

4. Management Board meetings may be held at any time, provided they are convened by e- mail in advance giving reasonable notice by the President, or, if the President is unavailable, by the Secretary. The Management Board is quorate if at least three members of the Management Board are present. The Management Board shall adopt its resolutions by a simple majority of the valid votes cast. In the event of tie the vote of the President, and if the President is absent, the vote of the Secretary.

5. The Management Board may conduct its meetings by video- or teleconference. Votes may be cast by e-mail, by other means using cryptographic signature or by using blockchain technology.

6.   Votes can be cast in writing. Votes cast in writing can be cast by e-mail, by other means using the member’s cryptographic signature or by using blockchain technology.

7. Resolutions of the Management Board shall be minuted and be signed by the President, the Secretary or the Treasurer.

8. The Management Board shall adopt its own management bylaws, which shall require approval of the General Assembly.

9    The Management Board members shall be elected by the General Assembly by separate ballots for the duration of two years, re-election shall be permissible. Members of the Management Board can resign from office by written declaration to the Management Board at any time. If a member of the Management Board resigns, a General Assembly will be convened within two months to appoint a replacement. The Management Board member shall remain in office until a successor assumes such office.

10. The Management Board or a member of the Management Board may be dismissed for good cause by the General Assembly. There is good cause in the case of gross breach of duty or incapacity to manage the Association in a sound manner or if it is unacceptable to maintain the Management Board or the member of the Management Board concerned until the expiration of the term of office. Before the dismissal, the Management Board or the Management Board member concerned shall be heard.

§ 6 Vorstand    

1.   Der Vorstand besteht aus mindestens drei natürlichen Personen:     

a.   dem Präsidenten,   

b    dem Generalsekretär,         

c.   dem Schatzmeister und       

d. kann um weitere Vorstandsmitglieder ergänzt werden.          

2.   Der Verein wird gerichtlich und außergerichtlich durch den Präsidenten, den Generalsekretär und den Schatzmeister jeweils einzeln vertreten; sie bilden den Vorstand im Sinne des § 26 BGB und gemeinsam mit den weiteren Mitgliedern den erweiterten Vorstand (der „Vorstand“). Die Haftung des Vorstands gegenüber dem Verein und seinen Mitgliedern ist auf Vorsatz und grobe Fahrlässigkeit beschränkt. Die weiteren Vorstandsmitglieder haben beratende Funktion und sind zur rechtsgeschäftlichen Vertretung des Vereins nicht berechtigt.      

3.  Der Vorstand ist für alle Angelegenheiten des Vereins zuständig, soweit sie nicht durch Satzung einem anderen Organ des Vereins übertragen sind. Der Vorstand setzt die Beschlüsse der Mitgliederversammlung um und unterbreitet ihr Vorschläge zur Verwirklichung des Vereinszwecks. Die Mitglieder des Vorstands haben Anspruch auf Erstattung der Aufwendungen, die für die Führung des von ihnen übernommenen Amtes erforderlich sind und sich in einem angemessenen Rahmen halten.

4.   Vorstandsitzungen können jederzeit stattfinden, sofern diese zuvor durch den Präsidenten, bei dessen Verhinderung durch den Generalsekretar, per E-Mail unter Einhaltung einer angemessenen Frist einberufen wurden. Der Vorstand ist beschlussfähig, wenn mindestens drei Vorstandsmitglieder anwesend sind. Der Vorstand fasst seine Beschlüsse mit einfacher Mehrheit der abgegebenen gültigen Stimmen. Bei Stimmengleichheit entscheidet die Stimme des Präsidenten, bei dessen Abwesenheit der Generalsekretär.       

5. Vorstandssitzungen können mittels Video- oder Telekonferenzen abgehalten werden. Die Stimmabgabe kann auch per E-Mail, unter Nutzung kryptographischer Signatur oder durch Nutzung der Blockchain-Technologie erfolgen.    

6. Beschlusse können auch schriftlich gefasst werden (Umlaufbeschluss). Statt der Schriftform kann der Vorstand per E-Mail, auf andere Art unter Nutzung ihrer kryptographischen Signatur oder durch Nutzung der Blockchain-Technologie abstimmen.   

7. Die Beschlüsse des Vorstands sind zu protokollieren und vom Präsidenten, Generalsekretär oder Schatzmeister zu unterschreiben.     

8    Der Vorstand gibt sich eine Vorstands-Geschäftsordnung, die der Zustimmung durch die Mitgliederversammlung bedarf.      

9. Die Vorstandsmitglieder werden von der Mitgliederversammlung in getrennten Wahlgängen fur die Dauer von zwei Jahren gewählt. Wiederwahl ist zulässig. Mitglieder des Vorstandes können jederzeit durch schriftliche Erklärung gegenüber dem Vorstand zurücktreten. Tritt ein Vorstandsmitglied zurück, hat die Mitgliederversammlung innerhalb von zwei Monaten einen Nachfolger zu bestimmen. Das Vorstandsmitglied bleibt so lange im Amt bis ein Nachfolger sein Amt antritt.     

10. Der Vorstand oder ein einzelnes Vorstandsmitglied kann aus wichtigem Grund durch die Mitgliederversammlung abberufen werden. Wichtige Gründe sind insbesondere, wenn der Vorstand seine Pflichten grob verletzt, sich unfähig zur ordnungsgemäßen Geschäftsführung zeigt oder seine Beibehaltung bis zum Ablauf der Amtszeit dem Verein nicht mehr zuzumuten ist. Vor der Abberufung ist der Vorstand bzw. das betroffene Vorstandsmitglied zu hören.

Article 5  General Assembly

1. The regular General Assembly shall be held once a year. Extraordinary General Assemblies may be held if this is required in the Association’s interest or requested by one tenth of the members.

2.   A General Assembly shall be convened by the Management Board by e-mail two weeks before the General Assembly. The agenda will be jointly determined by the President, the Secretary and the Treasurer, and shall be communicated together with the invitation. This deadline shall be deemed to be observed if the invitation is e-mailed to the address last made known to the Association in a timely manner. A General Assembly shall have a quorum if it was duly convened in advance.

3    The General Assembly shall be chaired by the President, or the Secretary if the President is unable, or the Treasurer if the Secretary is unable. If none of them are able to attend the meeting, the General Assembly shall elect a chairperson for the meeting. The chairperson of the meeting shall appoint a minute-taker to record the resolutions adopted by the General Assembly. The minutes shall be jointly signed by the minute-taker and the chair of the General Assembly.

4. Each member may submit to the Management Board applications for resolutions or discussion items. The applications must be received no later than one week prior to the date of the meeting. Urgent applications can be heard at the General Assembly upon approval by the General Assembly.

5. Decisions by the General Assembly are made by a majority of the valid votes cast; abstentions are invalid votes and are not counted as votes cast. Votes are conducted by a show of hands, or in the manner which is suitable for the General Assembly concerned (teleconference, videoconference). Votes may be cast by e-mail, by other means using cryptographic signature or by using blockchain technology. A secret ballot shall be held if two third of the present members request it.

6. Resolutions concerning the expulsion of members and changes to the Articles require a majority of two thirds; resolutions concerning changes to the purpose of the Association require a majority of three fourth of the valid votes cast.

7. Attendance and voting by videoconference or teleconference is valid.

8. Outside of General Assembly votes can be cast in written form if the majority of members consent to it. Votes cast in writing can be cast by e-mail, by other means using the member’s cryptographic signature or by use of blockchain technology. Votes concerning the dissolution of the Association and the election and dismissal of the Management Board cannot be cast in writing.

9. The tasks of the General Assembly shall include, but are not limited to:

            a. election and dismissal of, and grant of discharge to, the whole Management Board,

b. acceptance of the annual report by the Management Board and votes concerning the Association’s budget,

c. changes to the Articles, changes to the purpose of the Association or the dissolution of the Association,

            d. the approval of bylaws,

            e. appointment of the Association’s auditor

10. The General Assembly shall adopt all resolutions required for the achievement of the Association’s purpose.

§ 5 Mitgliederversammlung  

1.   Die reguläre Mitgliederversammlung findet einmal jährlich statt. Weitere Mitgliederversammlungen finden statt, wenn dies im Interesse des Vereins erforderlich ist oder wenn mindestens ein Zehntel der Mitglieder dies verlangt.  

2. Mitgliederversammlung werden vom Vorstand per E-Mail mit einer Frist von zwei Wochen vor der Mitgliederversammlung einberufen. Die Tagesordnung wird vom Präsidenten, dem Generalsekretär und dem Schatzmeister gemeinsam festgelegt und zusammen mit der Einladung versandt. Zur Fristwahrung genügt die rechtzeitige Aufgabe der Einladung per E-Mail an die dem Verein zuletzt bekannte Emailadresse. Die Mitgliederversammlung ist beschlussfähig, wenn sie zuvor ordnungsgemäß einberufen wurde.    

3. Die Mitgliederversammlung wird vom Präsidenten, bei dessen Verhinderung vom Generalsekretär oder bei dessen Verhinderung vom Schatzmeister geleitet. Sind diese verhindert, wählt die Mitgliederversammlung einen Versammlungsleiter. Der Versammlungsleiter bestimmt einen Protokollführer, der die von der Mitgliederversammlung gefassten Beschlusse protokolliert. Das Protokoll ist vom Protokollführer und vom Versammlungsleiter gemeinsam zu unterzeichnen.

4. Jedes Mitglied kann beim Vorstand Anträge zur Beschlussfassung oder Aussprache einreichen. Die Anträge müssen spätestens eine Woche vor dem Versammlungstag eingegangen sein. Über die Zulassung von Dringlichkeitsantragen, die erst in der Mitgliederversammlung gestellt werden, entscheidet die Mitgliederversammlung.

5. Die Mitgliederversammlung entscheidet mit der Mehrheit der abgegebenen gültigen Stimmen; Stimmenthaltungen gelten als ungültige Stimmen und werden nicht mitgezählt. Abstimmungen erfolgen durch Handaufheben oder in der Form, die für die Form der Mitgliederversammlung zweckmäßig ist (Telefon-, Videokonferenz). Es kann auch per E-Mail, auf andere Art unter Nutzung kryptographischer Signatur oder durch Nutzung der Blockchain-Technologie abgestimmt werden. Eine Abstimmung muss als geheime Abstimmung durchgeführt werden, wenn zwei Drittel bei der Abstimmung anwesenden Mitglieder dies beantragt.  

6. Zum Ausschluss von Mitgliedern und zu Satzungsänderungen ist eine Mehrheit von zwei Dritteln, zu Änderungen des Vereinszwecks eine solche von drei Vierteln der abgegebenen gültigen Stimmen erforderlich.  

7. Die Mitgliederversammlung kann auch als Video- oder Telekonferenz stattfinden.  

8. Es kann schriftlich außerhalb einer Versammlung abgestimmt werden, wenn die Mehrheit der Mitglieder der schriftlichen Abstimmung zustimmt. Statt der Schriftform können die Mitglieder per E-Mail, auf andere Art unter Nutzung ihrer kryptographischen Signatur oder durch Nutzung der Blockchain- Technologie abstimmen. Die Auflösung des Vereins sowie Wahl und Abberufung des Vorstands können nicht im schriftlichen Verfahren beschlossen werden.

9.   Die Aufgaben der Mitgliederversammlung sind insbesondere

a.   die Wahl, Abberufung und Entlastung des gesamten Vorstands,

b.   die Entgegennahme des Jahresberichts des Vorstands und die Abstimmung über den Vereinshaushalt,

c.   Satzungsänderungen, Änderungen des Vereinszwecks und die Auflösung des Vereins,

d. der Erlass einer Geschäftsordnung

e. Die Bestimmung des Rechnungsprüfers des Vereins.

10. Die Mitgliederversammlung fasst alle zur Verwirklichung des Vereinszwecks erforderlichen Beschlüsse.

Article 2  Purpose of the Association

1. The purpose of the Association is to promote science and research.

2. The purpose of the Articles of Association shall in particular be achieved by the following means:

a. Research on the realization and applications of „blockchain“ technology, in particular the research and development of decentralized governance models and provide documentation about the codebase that the Association governs.

b. Aspects of the research, such as results and areas for further research, will in a timely matter be made available to the public through various means, including publications online and in technical papers, the presentation and discussion of research activities at lectures and seminars, and the publication of source code developed or governed by the Association under free, open source licenses.

c.   The members of the Association are asked and supported to operate a server in the form of a ‘Node’ which connects to the Nodes operated by other network participants and thereby create a blockchain platform on the internet that is in line with the purpose of the association and is of benefit to the general public and can be used if the governance of that platform is in line with the IPDB charter.

d.   The Association aims to foster discussion, consensus seeking, and where necessary, voting on governance and code maintenance matters relating to any code base that IPDB oversees and that might affect multiple projects; and is establishing election processes for ‘Code Maintainers’ or other governance / leadership roles in the (technical) community that are expected to have an organizational impact beyond the projects steered by single companies – if IPDB members ask for the establishment of such roles. Funding for such roles, if they cannot be covered by volunteers, will be discussed among IPDB members and might also affect the membership fee policy of the Association.

3.  The Association acts in a selfless manner. It does not primarily pursue its own financial interests.

4.   The funds of the Association may only be used for the purposes in the Articles of Association. The members do not receive any allowances from the funds of the Association.

5. No person may benefit from expenses which are outside the purpose of the Association or from a disproportionately high remuneration        

§ 2 Zweck des Vereins  

1. Zweck des Vereins ist die Forderung von Wissenschaft und Forschung.           

2. Der Satzungszweck wird insbesondere verwirklicht durch folgende Maßnahmen:        

a. Die Forschung an der Realisation und an Anwendungen der „Blockchain”-Technologie, insbesondere der Erforschung und Entwicklung dezentralisierter Organisationsstrukturen und die Zurverfügungstellung von Dokumentation über die Codesbase, die dem Verein anvertraut ist. 

b. Aspekte der Forschung wie z.B. Ergebnisse und Bereiche weiterer Forschung werden der Allgemeinheit auf verschiedenen Wegen zeitnah zugänglich gemacht einschließlich durch Veröffentlichungen von Beiträgen im Internet und in Fachartikeln, der Präsentation und Diskussion von Forschungsgegenständen im Rahmen von Vorträgen und Seminaren sowie der Veröffentlichung von durch den Verein entwickelten oder ihm anvertrauten Quellcode unter einer freien, offenen Lizenz.

c.   Die Mitglieder des Vereins werden gebeten und dabei unterstützt, einen eigenen Server in Form von Datenknotenpunkten („Nodes“) zu betreiben, die sich mit den Datenknotenpunkten anderer Netzwerkteilnehmer verbinden und so eine Blockchain-Plattform im Internet schaffen, die mit dem Zweck des Vereins übereinstimmt, der allgemeinen Öffentlichkeit einen Mehrwert bietet und benutzt werden kann, wenn die Leitungsgrundsätze dieser Plattform mit der Satzung der IPDB vereinbar sind.  

d.   Der Verein zielt darauf ab, Diskussionen, Konsens-Findung und gegebenenfalls Abstimmungen über Governance- und Code-Wartungsangelegenheiten über jede Codebasis zu fördern, die von der IPDB beaufsichtigt wird und die mehrere Projekte betreffen könnte; und etabliert Wahlprozesse für ‚Code Maintainer‘ oder andere Governance-/Führungsrollen in der (technischen) Gemeinschaft, von denen erwartet wird, dass sie über die von einzelnen Unternehmen gesteuerten Projekte hinaus organisatorische Auswirkungen haben – falls IPDB-Mitglieder die Einrichtung solcher Rollen fordern. Die Finanzierung solcher Rollen, wenn sie nicht von Freiwilligen übernommen werden können, wird unter den IPDB-Mitgliedern diskutiert und kann sich auch auf die Mitgliedsbeitragsrichtlinien des Vereins auswirken.

3. Der Verein ist selbstlos tätig; er verfolgt nicht in erster Linie eigenwirtschaftliche Zwecke.

4. Mittel des Vereins dürfen nur für die satzungsmäßigen Zwecke verwendet werden. Die Mitglieder erhalten keine Zuwendungen aus den Mitteln des Vereins.            5.   Es darf keine Person durch Ausgaben, die dem Zweck des Vereins fremd sind, oder durch unverhältnismäßig hohe Vergütungen begünstigt werden.

Article 1: Name, Seat, and Fiscal Year

1. The name of the Association is the “Interplanetary Database Association” (in short “IPDB Association”) and shall be recorded in the Register of Associations. After the registration in the Register of Association it carries the addition “e.V.”.

2. The seat of the Association is Berlin.

3. The Association was established on 7 July 2017.

4. The fiscal year is the calendar year.

5. The German version of these Articles shall prevail

6. The Association exclusively and directly pursues non-profit purposes within the meaning of the section titled “tax-privileged purposes” of the German Fiscal Code.

§1 Name, Sitz, Geschaftsjahr

1. Der Verein führt den Namen „lnterplanetary Database Association“ (abgekürzt „IPDB Association“) und wird in das Vereinsregister eingetragen. Nach der Eintragung führt der Verein den Zusatz „e.V.“

2. Sitz des Vereins ist Berlin.

3. Der Verein wurde am 7. Juli 2017 errichtet.

4. Geschäftsjahr ist das Kalenderjahr.

5. Die deutsche Fassung dieser Satzung ist maßgeblich.

6. Der Verein verfolgt ausschließlich und unmittelbar gemeinnützige Zwecke im Sinne des Abschnitts “Steuerbegünstigte Zwecke” der Abgabenordnung.

Article 4  Bodies of the Association

1.   The bodies of the Association are

a.   the General Assembly,

b.   the Management Board,

c.   the Advisory Board.

§ 4 Organe des Vereins

c. der Beirat.

Article 3  Membership

1. Any legal person that supports the aims of the Association can apply to become member of the Association.

2. Membership is obtained by application in writing by the prospective member and approval in writing by the Association. The Management Board shall decide on the applicant’s admission to the Association according to the following criteria:

a.  The Association shall have no more than 100 members unless the limit is expressly changed by the General Assembly. New members may be added gradually over the next five years until the limit is reached. The number of new members approved each year will be determined by the Management Board according to capacity considerations.

b.  All of the members will be legal persons and a substantial part of the members shall be non-profit legal persons and / or universities and they should have a seat reserved on the board if this group of members nominates a candidate.

            c. Further requirements are set in bylaws which are to be approved by the General Assembly.

d. An application can be turned down if the Association’s aims or interest are likely to be compromised by the acceptance of the new member.

3. Membership shall end upon the member’s resignation, liquidation of a member or expulsion from the Association. Resignation may be effected by written notice to the Board, and is effective immediately. Any member may be expelled upon recommendation by the Management Board by resolution of the General Assembly if the member has grossly violated the interests or rules of the Association. Before the resolution, the respective member shall be heard. The member who is affected by the resolution shall be barred from voting. Further details are set in the bylaws approved by the General Assembly.

4. There shall be no membership fees until decided otherwise by the General Assembly.

§ 3 Mitgliedschaft        

1.   Mitglied des Vereins können juristische Personen werden, die die Ziele des Vereins unterstützen.

2.   Die Mitgliedschaft wird erworben durch schriftliches Beitrittsgesuch des Bewerbers und dessen schriftliche Annahme durch den Verein. Über die Aufnahme entscheidet der Vorstand nach Maßgabe folgender Kriterien:

a. Der Verein soll nicht mehr als 100 Mitglieder haben, soweit die Mitgliederversammlung nicht ausdrücklich etwas anderes bestimmt. Neue Mitglieder können im Verlauf der kommenden fünf Jahre schrittweise bis zur Erreichung des Limits hinzukommen. Die Anzahl der jährlich neu zuzulassenden Mitglieder bestimmt der Vorstand nach Kapazitätsgesichtspunkten.        

b.   Alle Mitglieder müssen juristische Personen sein und ein substanzieller Teil der Mitglieder sollen nichtgewinnorientierte juristische Personen und / oder Universitäten sein – und für diese ist ein Sitz im Vorstand reserviert, falls diese Mitglieder-Gruppe einen Kandidaten nominiert.

c.   Weitere Vorgaben bestimmt eine Geschäftsordnung des Vereins, die von der Mitgliederversammlung beschlossen wird.       

d. Die Aufnahme kann versagt werden, wenn durch sie die Ziele und Interessen des Vereins beeinträchtigt werden.        

3.   Die Mitgliedschaft endet mit Austritt, Auflösung des Mitglieds oder Ausschluss aus dem Verein. Der Austritt muss einem Mitglied des Vorstandes schriftlich mitgeteilt werden und ist sofort wirksam. Ein Mitglied kann auf Empfehlung des Vorstands durch Beschluss der Mitgliederversammlung ausgeschlossen werden, wenn es schuldhaft in grober Weise die Interessen oder Regeln des Vereins verletzt hat. Vor Beschlussfassung ist das betroffene Mitglied zu hören. Das Mitglied, das von dem Ausschluss betroffen ist, unterliegt bei der Beschlussfassung einem Stimmverbot. Weitere Einzelheiten bestimmt eine Geschäftsordnung des Vereins, die von der Mitgliederversammlung beschlossen wird.    

4. Mitgliedsbeiträge werden nicht erhoben, solang von der Mitgliederversammlung nichts anderes beschlossen wird.
